Welcome to UYAAI Wholesale (operating under uyaaiwholesale.com, hereinafter
referred to as “the Site”, “we”, “us”, or “our”). The Site is owned and operated
by Guangzhou Miduo Technology Co., Ltd. (hereinafter referred to as “the
Company”).

Please read these Terms of Service (hereinafter referred to as “Terms”)
carefully before accessing or using our website. By accessing, browsing, or
submitting inquiries on the Site, you agree to be bound by these Terms and our
Privacy Policy. If you do not agree to all of these Terms, please do not use
this website.

1. Acceptance of Terms & B2B Eligibility

This Site is strictly a Business-to-Business (B2B) wholesale platform. By using
this Site, you warrant and represent that:

• You are accessing this Site on behalf of a registered business entity, brand
  distributor, agent, or retail merchant.
• You are at least 18 years of age and possess the legal authority to enter
  into binding business agreements.
• You agree that the products purchased through our official quotation process
  are intended for commercial resale, distribution, or professional business
  use only, and are not for personal, retail, or consumer use.

1. Wholesale Policy & Minimum Order Quantity (MOQ)

We strictly enforce wholesale requirements to maintain our factory-direct
pricing:

• Minimum Order Quantity (MOQ): Strictly starts at 100 pairs per order.
• SKU Requirements: A minimum of 5 pairs per SKU (per color/power) is required
  for mixed wholesale orders.
• Any inquiry or order request failing to meet these business minimums will be
  evaluated at our sole discretion or rejected.

1. Inquiry-Based Platform & Pricing

The Site functions as a product showcase and inquiry collection platform.

• No Direct Checkout: You cannot purchase products directly on the Site. No
  financial transactions are processed on uyaaiwholesale.com.
• Quotation Process: To obtain pricing, you must submit an inquiry form
  (selecting your required series, colors, quantities, and destination
  warehouse). Our B2B sales team will contact you via email or WhatsApp to
  provide an official, binding Proforma Invoice (PI) with shipping costs.
• All prices displayed on the Site (if any) are indicative and subject to
  change without prior notice based on raw material costs and exchange rate
  fluctuations.

1. Product Quality, Specifications, and Compliance

Our contact lenses are manufactured in state-of-the-art facilities compliant
with global medical device standards (including Kangshida, Jilin Ruierkang, and
Xiamen Airisi).

• Material: Made of high-grade HEMA+NVP or Silicone Hydrogel.
• Certifications: Our products carry official medical device certifications
  including CE, ISO13485, and US FDA.
• Buyer’s Responsibility: As a B2B buyer/importer, you are solely responsible
  for ensuring that you possess the necessary local import licenses, medical
  device registrations, and compliance permits required to import and
  distribute contact lenses in your destination country. We are not liable for
  any customs seizures, fines, or delays caused by your lack of local import
  compliance.

1. Shipping, Delivery, and Logistics

• Warehousing: Orders are dispatched based on inventory availability from our
  designated local warehouses (Indonesia, Vietnam, Thailand, Malaysia) or our
  Global Warehouse.
• Shipping Terms: All shipments are processed under EXW (Ex Works) or FOB
  (Free on Board) terms unless otherwise mutually agreed in writing on the
  Proforma Invoice.
• Delivery Estimates: Lead times provided during the quotation process are
  estimates. We are not liable for logistics delays caused by third-party
  shipping couriers (DHL, FedEx, etc.) or customs clearance procedures.

1. B2B Return and Refund Policy

Because we operate on a low-margin B2B factory-direct model:

• All Sales Are Final: We do not accept returns, refunds, or exchanges for
  unsold inventory, changes of mind, or local customs clearance failures.
• Defective or Damaged Goods: In the rare event of factory defects or
  incorrect shipments, you must notify us in writing (providing photo/video
  evidence of the sealed blisters) within 14 days of delivery. Upon
  verification, we will issue replacements or credits in your next wholesale
  order.

1. Intellectual Property

All content on this Site, including but not limited to the UYAAI brand name,
logos, product images, graphics, website layout, and text, is the exclusive
intellectual property of Guangzhou Miduo Technology Co., Ltd.

• Authorized distributors and wholesale clients may use our promotional images
  and marketing assets only after receiving explicit, written consent from our
  sales department.
• Any unauthorized scraping, hotlinking, or commercial reproduction of our
  assets for non-affiliated retail stores is strictly prohibited.

1. Limitation of Liability

Under no circumstances shall the Company, its factories, directors, or employees
be held liable for any direct, indirect, incidental, or consequential damages
arising from:

• The improper use, fitting, or care of contact lenses by your end-consumers.
• Your failure to comply with local medical device distribution laws.
• Any interruption, server downtime, or technical errors on the Site.

1. Governing Law & Jurisdiction

These Terms, our relationship, and any subsequent transaction initiated through
our inquiry process shall be governed by, and construed in accordance with, the
laws of the People’s Republic of China.

Any legal dispute, controversy, or claim arising out of or relating to these
Terms shall be submitted to the exclusive jurisdiction of the competent courts
in Guangzhou, Guangdong Province, China.
